Please read these Terms and Conditions ("Terms") carefully before using the DAYLA wholesale platform at https://shopdayla.com/ (the "Site"), operated by IRIS FASHION LLC ("DAYLA", "we", "us", or "our").
By accessing or placing orders through the Site, you confirm that you are an authorized representative of a registered business entity and agree to be bound by these Terms.
1. Wholesale Account Eligibility
Access to DAYLA's wholesale ordering platform is available exclusively to verified B2B buyers, including:
- Licensed retail boutiques and stores
- Multi-brand retailers and distributors
- Approved e-commerce resellers
To apply for a wholesale account, you must provide a valid business license, resale certificate (if applicable), and business contact information. DAYLA reserves the right to approve or reject any wholesale account application at its sole discretion.
2. Minimum Order Requirements
To maintain our wholesale pricing and B2B business structure, all orders placed on DAYLA must meet the following minimum requirements:
- Minimum Order Quantity (MOQ): At least 3 items per order.

Minimum Order Value (MOV): A total order value of $100 USD or more (excluding taxes and shipping costs).
Orders that do not meet both criteria will not be processed at checkout. DAYLA reserves the right to adjust these requirements during special promotions or events.
3. Pricing and Payment
- All wholesale prices are listed in US Dollars (USD) and are exclusive of applicable taxes and shipping costs.
- Prices are subject to change. Confirmed orders will be invoiced at the price agreed upon at the time of order placement.
- Payment terms are Net-30 for qualified accounts, or prepayment via credit card, ACH, or wire transfer.
- Overdue accounts may result in suspension of ordering privileges and may be subject to late fees.
4. Orders and Fulfillment
- All orders are subject to product availability. DAYLA will notify you of any out-of-stock items.
- DAYLA reserves the right to cancel or modify orders due to pricing errors, inventory issues, or other operational reasons.
- Typical lead time for wholesale order fulfillment is 5–10 business days from order confirmation.
5. Shipping
- Shipping costs are the responsibility of the buyer unless otherwise negotiated.
- DAYLA ships via standard carriers (UPS, FedEx, USPS). Expedited shipping is available at additional cost.
- Risk of loss passes to the buyer upon delivery to the carrier.
6. Intellectual Property
All content on the Site, including product images, descriptions, logos, and branding, is the property of IRIS FASHION LLC. Wholesale buyers may use DAYLA product images and brand assets solely for approved resale and marketing of DAYLA products.
7. Resale Restrictions
Wholesale buyers agree not to sell DAYLA products on unauthorized third-party marketplaces (including, but not limited to, Amazon, eBay, or Wish) without prior written approval from DAYLA. Violation of this policy may result in account termination.
8. Limitation of Liability
To the fullest extent permitted by law, DAYLA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our products or services.
9. Governing Law
These Terms shall be governed by the laws of the State of California, United States. Any disputes shall be resolved in the courts located in Los Angeles County, California.
10. Changes to Terms
We reserve the right to modify these Terms at any time. Registered wholesale accounts will be notified of material changes via email.
